DPTforMe High Performance Coach (HPC) Terms & Conditions Agreement

This High Performance Coach (“HPC”) Terms & Conditions Agreement (“Agreement”) governs the relationship between the individual registering as a High Performance Coach (“Coach,” “HPC,” “you,” or “your”) and DPTforMe, Hammerhead HP LLC, Dr. Cory Keirn, and any affiliated entities, officers, employees, contractors, agents, or representatives (collectively referred to as “Company,” “DPTforMe,” “Hammerhead HP,” or “we”).
By registering as a High Performance Coach, accessing the platform, accepting clients, or participating in any DPTforMe-related activity, you acknowledge that you have read, understood, and agreed to the terms below.
1. Purpose of the Platform
DPTforMe is a health, wellness, fitness, education, and human performance coaching platform intended to connect clients with High Performance Coaches for general education, coaching, accountability, exercise guidance, wellness optimization, and performance enhancement services.
The platform is not a medical clinic, rehabilitation provider, physical therapy practice, or healthcare facility.
The Coach understands and agrees that their role on the platform is strictly limited to non-medical coaching and educational services.
2. No Medical Services or Physical Therapy
By participating as a Coach, you expressly acknowledge and agree that:
- You are not providing medical treatment through DPTforMe.
- You are not diagnosing injuries, illnesses, diseases, or medical conditions.
- You are not establishing a physician-patient or therapist-patient relationship.
- You are not delivering physical therapy services through the platform unless separately authorized and legally permitted outside the DPTforMe coaching environment.
- You may not represent DPTforMe as a healthcare provider or medical organization.
- All coaching services must remain educational, motivational, performance-based, wellness-focused, or fitness-oriented in nature.
Even if a Coach holds professional credentials including but not limited to DPT, PT, PTA, ATC, MD, DO, DC, CSCS, or similar licenses/certifications, all interactions conducted through DPTforMe must remain within the scope of non-medical coaching and education.
The Coach agrees to immediately refer clients to licensed healthcare providers, emergency services, or appropriate medical professionals when medical concerns arise.
3. Independent Contractor Relationship
All Coaches operate as independent contractors and not employees of DPTforMe, Hammerhead HP LLC, or Dr. Cory Keirn.
Nothing in this Agreement shall be interpreted to create:
- An employer-employee relationship
- A partnership
- A joint venture
- An agency relationship
- Ownership interest in the Company
The Coach is solely responsible for:
- Their own taxes
- Licensure compliance
- Continuing education
- Insurance coverage
- Legal compliance
- Business registrations
- Financial reporting
- Personal conduct
- Coaching decisions
The Company does not provide employee benefits, workers’ compensation, unemployment insurance, retirement plans, or healthcare benefits.
4. Scope of Coaching Services
Approved coaching services may include:
- General fitness guidance
- Strength and conditioning
- Exercise programming
- Mobility and flexibility coaching
- Lifestyle coaching
- Wellness education
- Performance enhancement
- Goal development
- Accountability coaching
- Recovery education
- Human performance optimization
Prohibited services include:
- Medical diagnosis
- Prescription of medications
- Treatment of disease or injury
- Physical therapy treatment
- Manipulation or manual therapy
- Billing insurance under DPTforMe
- Making medical guarantees or promises
- Misrepresenting credentials or services
5. Professionalism and Coach Conduct
All Coaches are expected to maintain the highest standards of professionalism, integrity, and ethical behavior.
The Coach agrees to:
- Treat all clients with dignity and respect
- Maintain appropriate professional boundaries
- Avoid harassment, discrimination, intimidation, or abusive conduct
- Avoid inappropriate language, sexual misconduct, or unethical behavior
- Communicate professionally in all written, verbal, video, and electronic interactions
- Maintain confidentiality when appropriate
- Refrain from false advertising or misleading claims
- Avoid guaranteeing outcomes or results
- Operate within applicable laws and regulations
The Company reserves the right to suspend or terminate any Coach account for conduct deemed inappropriate, unsafe, unethical, unlawful, or damaging to the reputation of DPTforMe, Hammerhead HP LLC, or Dr. Cory Keirn.
6. Social Media and Public Representation
The Coach may not:
- Represent themselves as an employee of DPTforMe unless expressly authorized
- Make public statements on behalf of the Company
- Use Company branding in misleading ways
- Present coaching services as medical treatment
- Use defamatory, discriminatory, or harmful content associated with the platform
The Company reserves the right to request removal of content that negatively impacts the brand, violates policy, or creates legal risk.
7. Payment Terms
The Coach understands and agrees that compensation is subject to completed coaching services, client participation, platform processing, and Company review.
Unless otherwise agreed in writing:
- Coaches are paid monthly
- Payments are typically issued by the 10th day of the following month
- Payment timing may vary due to banking delays, holidays, processing issues, disputes, chargebacks, or administrative review
- The Company reserves the right to withhold payment during investigations involving misconduct, fraud, client disputes, or policy violations
Current compensation structure may include:
- $60/hour for the first 10 coaching hours per month
- $80/hour after 10 coaching hours per month
The Company reserves the right to modify compensation structures, incentives, or payment schedules at any time with reasonable notice.
The Coach is solely responsible for all taxes and financial obligations associated with earnings.
8. Insurance and Liability
The Coach is strongly encouraged to maintain professional liability insurance and any other insurance appropriate for their profession and jurisdiction.
The Coach agrees that participation on the platform is at their own risk.
To the fullest extent permitted by law, the Coach agrees to indemnify, defend, and hold harmless:
- DPTforMe
- Hammerhead HP LLC
- Cory Keirn
- Officers
- Employees
- Contractors
- Affiliates
- Representatives
from any claims, damages, liabilities, losses, costs, legal fees, or disputes arising from:
- Coaching activities
- Client interactions
- Negligence
- Misrepresentation
- Scope of practice violations
- Regulatory violations
- Injury claims
- Financial disputes
- Breach of this Agreement
9. Limitation of Liability
To the maximum extent permitted by law:
- DPTforMe and Hammerhead HP LLC shall not be liable for indirect, incidental, special, punitive, or consequential damages
- Total liability shall not exceed the amount paid to the Coach in the preceding three (3) months
- The Company does not guarantee client acquisition, revenue, platform availability, or business success
All platform participation is voluntary and at the Coach’s own risk.
10. Confidentiality
The Coach agrees to maintain confidentiality regarding:
- Client information
- Internal business operations
- Pricing structures
- Educational materials
- Trade secrets
- Proprietary documents
- Marketing strategies
- Platform systems
The Coach may not copy, reproduce, distribute, or sell proprietary Company materials without written authorization.
11. Intellectual Property
All Company-created content including but not limited to:
- Branding
- Logos
- Educational materials
- Courses
- Videos
- Documents
- Systems
- Marketing materials
- Website content
remain the exclusive intellectual property of Hammerhead HP LLC and DPTforMe unless otherwise agreed in writing.
12. Grievances and Complaints
If a Coach wishes to submit a grievance, complaint, or concern, they must do so in writing to the Company through the designated contact method listed on the website.
The grievance submission should include:
- Coach name
- Date of incident
- Description of concern
- Relevant supporting information
The Company reserves the right to investigate all complaints and make final determinations regarding platform participation, suspension, or termination.
13. Termination
The Company may suspend or terminate Coach access at any time, with or without cause, including but not limited to:
- Violation of this Agreement
- Unprofessional conduct
- Client safety concerns
- Fraudulent activity
- Scope of practice violations
- Legal or regulatory concerns
- Brand reputation concerns
The Coach may discontinue participation at any time.
Termination does not waive obligations related to confidentiality, indemnification, payment disputes, or liability limitations.
14. Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of Florida without regard to conflict of law principles.
Any disputes arising under this Agreement shall be resolved in the appropriate courts located in Tampa unless otherwise required by law.
15. Modifications
The Company reserves the right to modify these Terms & Conditions at any time.
Continued use of the platform after updates constitutes acceptance of revised terms.
16. Acknowledgment
By checking the acceptance box and registering as a High Performance Coach, you acknowledge that:
- You have read and understood this Agreement
- You agree to comply with all policies and requirements
- You understand that DPTforMe is a coaching and education platform only
- You accept full responsibility for your own coaching activities and conduct
If you do not agree to these terms, do not register or participate as a Coach on the platform.
